Marco Dell'Antonia, of counsel in the Milan Studio Orrick, Herrington & Sutcliffe office, is a member of the European Corporate Group. Mr. Dell'Antonia has extensive experience in local and cross-border M&A transactions, commercial contracts, general corporate and corporate governance. He advises primary Italian and international banks, insurance companies and major Italian and multinational corporations, working on complex corporate transactions including banking, industrial and manufacturing clients such as RBS Asset Management Limited, Acer, Meliorbanca (BPER Group), Simec and Zephir.
He has a specific experience in criminal liability of legal entities, with particular focus on financial crimes. He assists international and domestic clients in the context of the implementation of Legislative Decree no. 231/01 and the direct liability of corporate entities for crimes committed by directors, executives and their subordinates, drawing up compliance programs in coordination with corporate management in order to prevent potential sanctions deriving from specific crimes identified by the Decree itself.

Meliorbanca S.p.A. in the transaction for the acquisition of the 100 percent shares of Ri.Agnano S.r.l. owned by Risanamento S.p.A. in the company's plan of debt restructuring.

Acer Europe B.V. on purchasing 29.9 percent of Olidata S.p.A. share capital, assisting the client from the non-binding letter of intent, through the legal due diligence, negotiation, drafting of share purchase agreement, antitrust filing, till the closing.
He is chairman and member of a substantial number of Vigilance Bodies. Furthermore, Marco Dell’Antonia assists several Vigilance
Bodies on a day-by-day basis (e.g. Northrop Grumman Italia S.p.A., ING Direct, Veolia Servizi Ambientali S.p.A.).
He is scientific coordinator of the legal area of NIBI - Master in Business Internationalization promoted by Camera di Commercio di Milano (Chamber of Commerce of Milan); he is a regular lecturer of the Master in Law organized by Il Sole 24 Ore Business School and of the Master in Law organized by LUISS Business School; he is adjunct professor at the IULM University in intellectual property law (until 2009) and competition law.
Before joining the firm, Mr. Dell'Antonia developed a deep experience in international M&A transactions in Studio Legale Associato Laghi & Tabacchi, in Treviso.
